This agreement establishes the contractual relationship between trainers ("You" or "Trainers") and iCademy ("We," "Us," or "iCademy") for the creation and delivery of educational content on our platform. Your utilization of iCademy as a Trainer implies consent and adherence to these stipulations.

 

2. Trainer Responsibilities:

As a Trainer on iCademy, your responsibilities extend to several key areas:

1. Educational Content Creation:

   You are entrusted with creating educational content that meets the platform's high standards:

   • Quality Assurance: Ensure that your content is accurate, relevant, and up-to-date, providing valuable insights and knowledge to learners.
   • Instructional Design: Structure your content in a clear and organized manner, facilitating effective learning outcomes for enrolled students.
   • Engagement: Foster an engaging and interactive learning environment through various teaching methodologies, encouraging learner participation and comprehension.
2. Professional Conduct:

   Maintaining professionalism is paramount in your interactions with learners:

   • Communication: Communicate courteously and professionally with learners, responding promptly to queries and providing constructive feedback.
   • Respect: Foster a respectful and inclusive learning environment, embracing diversity and avoiding discriminatory, offensive, or inappropriate content or behavior.
   • Ethical Standards: Uphold ethical standards in all interactions, respecting learner privacy and confidentiality.
3. Compliance and Legal Obligations:

   Ensure compliance with legal and ethical guidelines:

   • Copyright and Intellectual Property: Respect copyright laws and intellectual property rights, using only content for which you hold the necessary rights or have obtained proper permissions.
   • Legal Compliance: Adhere to all applicable laws, regulations, and industry standards related to the subject matter of your courses and the provision of educational content.
4. Continuous Improvement:

   Strive for continuous improvement and development:

   • Feedback Incorporation: Actively consider and incorporate feedback from learners to enhance the quality and effectiveness of your content.
   • Professional Development: Engage in continuous learning, staying updated with advancements in your field and incorporating these into your courses.
5. Platform Engagement:

   Engage meaningfully with the iCademy platform:

   • Platform Utilization: Regularly engage with the platform, ensuring consistent and reliable availability to address learner inquiries or concerns.
   • Adherence to Guidelines: Comply with platform guidelines, policies, and standards, contributing positively to the community and maintaining a professional reputation.

 

3. Content Ownership:

1. Intellectual Property Ownership:
   • The Trainer acknowledges and agrees that any and all intellectual property rights, including but not limited to copyrights, trademarks, and any other proprietary rights, in the training materials, curriculum, recorded sessions and content provided by the Trainer to the Company iTUX shall be the exclusive property of the Company.
   • The Trainer hereby assigns, transfers, and conveys to the Company all rights, title, and interest in and to the Content, and agrees to take any actions necessary to effectuate such transfer.
2. License to Company:
   • The Trainer grants the Company an irrevocable, non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, publicly display and perform, modify, and create derivative works from the Content for the purpose of providing online training services on the Company's platform.
   • The license granted herein includes the right to sublicense the Content to Company affiliates, partners, and third-party platforms.
3. Resale Rights:
   • The Trainer acknowledges and agrees that the Company has the right to sell, sublicense, or otherwise commercially exploit the recorded training videos featuring the Trainer's content on the Company's platforms.
   • The Trainer shall not receive any additional compensation for such resale, and the Company retains the sole discretion to determine the pricing and terms for the resale of the recorded training videos.
4. Termination and Removal:
   • In the event of termination of the agreement between the Trainer and the Company, the license granted herein shall survive, and the Company may continue to use, sell, or sublicense the Content.
5. Confidentiality:
   • The Company agrees to handle the Content in accordance with the confidentiality provisions, where users will have access to the content only via iTUX Platforms.

 

4. Confidentiality:

   Trainers on iCademy are entrusted with maintaining the confidentiality of proprietary information or trade secrets provided by the platform:

   1. Protection of Proprietary Information:
      • Confidentiality Obligation: Trainers agree to treat all proprietary information received from iCademy as confidential and proprietary, refraining from disclosing, sharing, or using such information for any purposes beyond their engagement with the platform.
      • Scope of Confidentiality: This includes but is not limited to platform features, technological innovations, user data, internal processes, or any non-public information shared by iCademy.
   2. Non-Disclosure and Non-Use:
      • Non-Disclosure Commitment: Trainers pledge not to disclose or reveal any proprietary information obtained from iCademy to any third parties, ensuring its confidentiality and non-use for personal gain or competitive advantage.
      • Information Handling: Trainers commit to exercising due diligence and care in handling and safeguarding confidential information, preventing unauthorized access or disclosure.
   3. Platform Integrity and Trust:
      • Platform Integrity Assurance: Upholding confidentiality instills trust and integrity within the platform ecosystem, safeguarding the proprietary information that contributes to the platform's innovation and competitive edge.
      • Mutual Trust: This confidentiality commitment reinforces the mutual trust between trainers and iCademy, fostering a collaborative environment built on respect for proprietary information and intellectual property.

By maintaining the confidentiality of proprietary information, trainers contribute to preserving the platform's integrity, fostering an environment of trust, and upholding professional standards within the iCademy community.

 

5. Compliance with Policies:
   1. Trainers engaging with iTUX Academy commit to adhering to all platform policies, guidelines, and standards:
   2. Adherence to Course Creation Guidelines:
      • Content Guidelines: Trainers agree to create and upload content in alignment with iTUX Academy's content creation guidelines, ensuring adherence to quality, relevance, and educational standards specified by the platform.
      • Ethical Conduct: Trainers pledge to maintain ethical conduct in content creation, refraining from any behavior or content that violates platform guidelines, including discriminatory or offensive material.
   3. Community Standards and Ethical Behavior:
      • Respectful Interactions: Trainers undertake to engage with learners, colleagues, and the platform community in a respectful and professional manner, fostering an inclusive and conducive learning environment.
      • Abidance by Policies: This commitment extends to complying with all platform policies related to user interactions, discussions, feedback, or any other community engagement.
   4. Commitment to Legal and Regulatory Compliance:
      
      • Legal Adherence: Trainers assure compliance with all applicable laws, regulations, and industry standards relevant to the content they provide, ensuring legality and ethicality in their offerings.

6. Modifications to Agreement:

iTUX Academy reserves the right to modify, amend, or update this agreement at its discretion, ensuring transparency and clear communication with trainers:

1. Transparent Communication:
   • Notification of Changes: In the event of any modifications to this agreement, iTUX Academy will communicate these changes promptly to trainers. This may be accomplished through direct notifications via email or by prominently displaying the updated terms on the platform.
   • Clear Explanation: iTUX Academy will provide a clear explanation of the modifications made, outlining the specific alterations, additions, or deletions to the existing agreement to ensure complete comprehension.
2. Trainers' Acknowledgment:
   
   • Acknowledgment of Changes: Trainers, by continuing their engagement with iTUX Academy following the modifications, implicitly acknowledge and accept the updated terms and conditions. Continued use of the platform implies consent to the revised agreement.
   • Right to Review: Trainers retain the right to review the updated terms carefully. Should they disagree with the changes made, they reserve the right to discontinue their engagement with iTUX Academy.
3. Flexibility and Adaptability:
   
   • Flexibility in Agreement: This provision allows iTUX Academy to adapt to evolving circumstances, technological advancements, or regulatory changes, ensuring that the agreement remains relevant and compliant with current standards.
   • Trainers' Decision-Making: Trainers are encouraged to review any updates or modifications carefully, ensuring they align with their expectations and requirements before continuing their engagement with the platform.

7. Use of Recorded Sessions:

iTUX Academy retains the prerogative to record sessions conducted by trainers on the platform, enabling various beneficial outcomes:

1. Promotional and Educational Purposes:
   • Showcasing Quality Content: These recordings serve as a means to exhibit the caliber of educational content available on iTUX Academy, promoting the platform to potential learners. By showcasing snippets or excerpts of these sessions, iTUX Academy aims to attract and inform prospective users about the educational value offered.
   • Enhanced User Engagement: Utilizing excerpts or highlights from these recorded sessions in promotional materials, advertisements, or sample content enhances user engagement and assists learners in making informed decisions regarding course selection and platform engagement.
2. Future Commercial Endeavors:
   
   • Monetization Potential: The recorded sessions may be utilized for future commercial purposes, providing iTUX Academy with the option to leverage the content created by trainers. This includes the possibility of repurposing or monetizing the content for specialized courses, compilations, or additional educational materials.
   • No Additional Obligations: Trainers' sessions may be employed without necessitating further consent or compensation beyond pre-existing agreements, enabling iTUX Academy to explore new revenue streams or educational offerings.
3. Mutual Benefit:
   
   • Platform Visibility: By consenting to the use of recorded sessions, trainers contribute to the platform's visibility and expansion. Their valuable contributions enable the platform to attract a wider audience, benefiting both trainers and iTUX Academy.
   • Educational Outreach: Leveraging these recordings aids in broadening the educational outreach of trainers, potentially reaching a larger audience beyond the immediate confines of their courses, fostering a broader impact.

This agreement provides iTUX Academy the latitude to utilize recorded sessions judiciously for promotional endeavors, potential commercial uses, and enhanced educational outreach, mutually benefiting both the platform and trainers.

 

8. Property Rights:

Upon conducting sessions on iTUX Academy, trainers acknowledge and consent to the platform's acquisition of exclusive property rights to any derivatives, adaptations, or recordings generated from these sessions:

1. Ownership Transfer:
   • Exclusive Platform Ownership: Trainers explicitly recognize that any derivatives, adaptations, or recordings resulting from sessions conducted on iTUX Academy become the exclusive property of the platform. This includes but is not limited to edited clips, compilations, or any modified content derived from the original sessions.
   • Transfer of Rights: Trainers waive all claims and rights pertaining to these derivatives or adaptations, granting iTUX Academy unrestricted ownership, utilization, and distribution rights without necessitating further consent or compensation beyond pre-established agreements.
2. Utilization and Distribution:
   
   • Platform Utilization Rights: iTUX Academy retains the unrestricted authority to utilize, distribute, or repurpose these recordings or derivatives within the framework of pre-existing agreements. This includes leveraging the content for platform enhancement, promotional activities, or additional educational offerings.
   • Monetization and Commercial Use: The platform may explore potential monetization or commercial use of these derivatives without obligating trainers to any further participation, compensation, or approval.
3. Mutual Understanding:
   
   1. Clear Acknowledgment: Trainers' consent to this agreement signifies their understanding and acknowledgment that the rights to any recordings or adaptations created from their sessions transition to iTUX Academy. This provision facilitates the platform's endeavors in leveraging educational content for promotional, commercial, or educational purposes.

This arrangement establishes a clear understanding where trainers acknowledge iTUX Academy's exclusive rights to utilize, distribute, and potentially monetize derivatives or recordings generated from sessions, aligning with the platform's promotional and commercial objectives.

 

9. Termination:

iTUX Academy reserves the unilateral right to terminate this agreement or a trainer's access to the platform at any time, without prior notice, under specific circumstances:

1. Unilateral Termination Rights:
   • Platform Discretion: iTUX Academy retains the authority to terminate this agreement or a trainer's access to the platform at its sole discretion, without being obligated to provide prior notice or explanation for the termination.
   • Reasons for Termination: Termination may occur due to various reasons, including but not limited to violations of platform policies, non-compliance with legal or ethical standards, or disruptive behavior impacting the platform's integrity or community.
2. Continuation of Rights:
   
   • Rights and Obligations Post-Termination: Upon termination, the rights granted to iTUX Academy concerning the trainer's content, recordings, or derivatives, as outlined in the agreement, shall persist and be upheld in accordance with the terms specified even after the termination of the engagement.
3. Platform Integrity and Compliance:
   
   • Preservation of Platform Integrity: This termination provision is in place to safeguard the platform's integrity, ensuring compliance with policies and standards while allowing iTUX Academy to take swift action in cases where a trainer's actions or content jeopardize the platform's functionality or reputation.

By retaining the right to terminate the agreement or access, iTUX Academy upholds its commitment to maintaining platform integrity, safeguarding against violations, and swiftly addressing disruptive or non-compliant behavior for the overall benefit of the platform and its community.

 

10. Governing Law:

This agreement is governed by and construed in accordance with the laws of Indian Government, emphasizing adherence to the legal framework and regulations of the specified jurisdiction without regard to its conflict of law principles. This provision ensures that any disputes, interpretations, or legal proceedings arising from or related to this agreement shall be resolved in accordance with the laws and regulations stipulated in [Your Jurisdiction]. It emphasizes that the terms and conditions outlined within this agreement encompass the entirety of the understanding between trainers and iTUX Academy regarding their engagement on the platform. By including the entire agreement provision, both parties acknowledge that any prior discussions, negotiations, or agreements, whether verbal or written, are merged, and replaced by the terms delineated in this agreement, ensuring clarity, consistency, and a comprehensive understanding of the terms governing their engagement on iTUX Academy.
